As the digital landscape for cultural institutions evolves, Library Futures, a project of the NYU Law Engelberg Center on Innovation Law & Policy, is building the legal and policy infrastructure necessary for a stronger digital future. Our work is focused on developing modern, rational, commercially viable standards for digital content rights and contract negotiations that will serve the interests of libraries, creators, and the public in a way that current agreements do not.
Building Practical Legal Frameworks for Digital Content
Creating a Comprehensive Digital Negotiation Toolkit
Digital content negotiations often occur on an institution-by-institution basis without direct access to counsel. Library Futures is supporting libraries and creators in these negotiations by developing a toolkit of resources intended to allow parties to negotiate from a position of clarity and strength.
Through the support of its grant partners, Library Futures is creating a suite of open-access reference materials, including:
- Negotiation Toolkit: This Toolkit includes a standardized clause bank of pre-vetted legal language for use in contract redlines, designed to be paired with negotiation playbooks that provide strategic benchmarks and commercially reasonable terms to align digital contracts with library operations.
- Confidentiality and Risk Assessment Guides: These practical reference materials provide a framework to help organizations identify where confidentiality requirements exist and navigate associated operational risks.
Developing Practical Direct-to-Library Licensing
A cornerstone of this work involves the development of practical, direct-to-library licensing models. Library Futures is working to facilitate direct transactions between libraries and their content partners via clear licenses and sale agreements that reflect both parties’ intent to make content available through streamlined, operationally efficient agreements.
While current projects involve partnerships with independent book publishers, Library Futures is building these legal tools for broad applicability across a multitude of creative sectors. In creating these off-the-shelf legal resources, we are working to reduce the friction of direct licensing and ensure that a diverse array of creators can effectively reach library audiences through sustainable, professional, and mutually beneficial agreements.
Oversight and Professional Standards
All attorney-client legal work and bespoke advisement associated with the Library Futures project is conducted under the umbrella of the NYU Technology Law & Policy Clinic. This clinical structure provides the necessary institutional oversight and professional rigor required for specialized work while ensuring that all client relationships remain within appropriate ethical boundaries.
In providing these practical tools, Library Futures is fostering an environment where libraries and creative industries can thrive in a modern, accessible, and mutually beneficial digital ecosystem.
